BusinessOS Terms and Conditions

Working draft. Not a guarantee of compliance. These Terms describe the BusinessOS software as implemented on 19 October 2026. They have not been reviewed by a qualified lawyer. Fill in the operator's real legal name and status. If you operate as an individual without a registered company, say so. Do not present BusinessOS as a registered company unless that is true. Review against Zimbabwean law, including consumer protection, electronic transactions, data protection and tax rules, before launch.

Effective date: 19 October 2026

1. Agreement and acceptance

These Terms and Conditions ("Terms") govern access to BusinessOS, including the website, business tools, point of sale, storefronts, marketplace, integrations and related services (the "Services").

BusinessOS is operated by:

Operator's full legal name: [INSERT FULL LEGAL NAME]
Legal status: [INSERT ACCURATE LEGAL STATUS]
Business or service address: [INSERT REQUIRED CONTACT ADDRESS]
Website: [INSERT OFFICIAL BUSINESSOS DOMAIN]
Contact email: [INSERT SUPPORT EMAIL]

"BusinessOS", "we", "us" and "our" mean that operator.

By creating an account, accessing restricted tools or using the Services, you agree to these Terms to the extent the law allows. If you do not agree, do not use the Services.

If you use BusinessOS for a business, you confirm you are allowed to bind that business. "You" may mean the individual or the business, depending on context.

A separate agreement for a specific service applies to the extent of any conflict, subject to law.

Merchant sign-up records acceptance of the then-current Terms and Privacy Policy versions.

2. What BusinessOS provides

BusinessOS provides software that may let users:

What you see depends on plan, configuration, location and whether an external provider is connected.

We may add, change or withdraw features where reasonably necessary, subject to law and any commitments we have made.

We will not knowingly describe a feature as working when it is not implemented. In particular: shopper Paynow or EcoCash checkout is not connected; WhatsApp is a click-to-chat link, not an automated messaging product. Product reviews, where shown, are verified against an order access code. We do not sell or display invented ratings.

3. Eligibility and accounts

Provide accurate information. Keep credentials safe. Tell us about suspected unauthorised access. Use the Services only for lawful purposes.

You are responsible for activity through your account that comes from your actions, negligence or weak security. You are not automatically responsible for every unauthorised act, especially where we failed or a third party acted unlawfully.

We may ask for reasonable verification. We may restrict or suspend an account to protect the Services, users or the public, or to comply with law. Where appropriate and lawful we will explain and allow a remedy or appeal.

4. BusinessOS is a platform

Unless a transaction says otherwise, BusinessOS supplies software and marketplace infrastructure. It is not automatically the seller of goods listed by independent merchants.

Merchants are generally responsible for listing accuracy, product quality and legality, prices and stock, accepting and fulfilling orders, delivery or collection, their own cancellation and refund duties, customer messages, licences and taxes, and consumer and privacy duties.

Tools that display listings, record orders or help with disputes do not by themselves make BusinessOS the seller.

Where BusinessOS itself sells a product or a software subscription, that transaction will be identified as such.

Nothing in these Terms removes a duty or liability that the law places on BusinessOS.

5. Merchant registration and responsibilities

Merchants must give accurate business and contact details and must not pretend to be registered, licensed or verified if they are not.

Merchants must make sure offerings are lawful, listings are accurate, prices, currency, fees and taxes are disclosed, stock is kept reasonably accurate, delivery and collection settings match what they can do, payment options shown to customers are really available, staff access is limited, customer information is used lawfully, and orders are fulfilled or promptly explained when they cannot be.

Merchants must not use BusinessOS to sell prohibited goods, commit fraud, mislead customers or infringe rights.

6. Staff, roles and permissions

A merchant manages its users, permissions and removal of access. Roles may include owner, administrator, manager, cashier and accountant. A cashier must not automatically receive owner-level financial or account controls.

BusinessOS may log relevant account and staff activity.

Employment contracts and staff data handling remain the merchant's responsibility.

7. Products, listings and intellectual property

Merchants keep intellectual property they own in listings, images, logos and other content they upload.

By uploading or publishing content you grant BusinessOS a non-exclusive, worldwide, royalty-free licence to host, store, reproduce, display, format and distribute that content as reasonably needed to operate and provide the Services, keep records and resolve disputes.

You confirm you have the rights to publish that content.

We may restrict or remove content that appears to break these Terms or the law. Where appropriate we may notify you and allow a response.

8. Storefronts and marketplace listings

Merchants control storefront content and business settings, subject to these Terms and the law.

Registration is not verification of identity, quality or legal status. We will not show a verification badge unless the checks have been done.

Sponsored placements, if added, must be labelled. They are not an independent endorsement.

We do not guarantee that every merchant stays available, every listing is accurate, or every customer is satisfied. That does not cancel a merchant's legal duties or ours.

9. Orders and contract formation

Customers must review order details before submitting.

An order may depend on merchant acceptance, stock, payment recording or other conditions shown at checkout.

Status must distinguish submitted, awaiting acceptance, accepted, payment pending, payment recorded, preparing, ready, out for delivery, completed, cancelled or refunded.

Submitting an order is not proof the merchant accepted it or that money has been received.

The sale of goods is generally between the customer and the merchant unless the transaction names BusinessOS as the seller.

Merchants must honour confirmed order terms, subject to lawful cancellation, genuine errors and consumer protections.

Confirmed prices, fees, currency, cash rules and fulfilment method are snapshotted on the order. Later shop setting changes do not silently rewrite that order.

BusinessOS may show status updates. It does not guarantee that an independent merchant will fulfil every order.

10. Prices, currency and fees

Merchants are responsible for accurate prices.

Before the customer commits, checkout should show item prices and quantities, discounts if any, delivery or collection charges, tax or other fees that are calculated, currency, total, payment methods that are actually enabled, and fulfilment terms.

If delivery must be quoted, the customer must be told that the fee is not final.

BusinessOS does not invent an exchange rate.

Merchants must not add undisclosed fees.

11. Payments

Shopper payments follow the method chosen at checkout. In the current product that is cash on collection, cash on delivery, or a quote. A cash-on-delivery order is not paid merely because it is dispatched. Online payment is not confirmed by a browser redirect.

Merchant subscription payments use Paynow. A subscription payment is treated as confirmed only after the trusted Paynow verification path succeeds.

Merchants must not mark an online order paid without appropriate evidence.

Where cash is selected, the customer and merchant must follow the currency, exact-cash and change conditions shown before confirmation.

12. Collection and delivery

Merchants must say whether collection or delivery is available and on what conditions.

Estimates are estimates unless confirmed as binding.

Customers must give accurate fulfilment details.

Merchants must make reasonable efforts to fulfil confirmed orders and communicate material delays.

Risk for lost, damaged or delayed goods depends on the transaction, the parties' duties and the law. These Terms do not automatically shift every delivery risk to the customer.

13. Cancellations, returns and refunds

Each merchant must publish a clear cancellation, return, exchange and refund policy on the storefront. That policy must not unlawfully remove mandatory consumer rights.

Customers should contact the merchant promptly about problems and may use the in-product complaint form where available.

Refunds of a merchant sale generally require the merchant and, if a payment provider was used, that provider. BusinessOS tools that record a refund do not by themselves complete a bank or Paynow refund.

Refunds of BusinessOS software subscription fees follow the platform refund policy.

When we receive a complaint about an independent merchant we may help with communication, look at platform issues or take marketplace action. We do not guarantee a particular outcome.

Nothing in this section limits statutory consumer rights.

14. BusinessOS subscriptions and fees

Some Services are offered under a trial or paid plan. The billing screen discloses price, interval and material limits. The current paid plan is documented in the product as a monthly Pro fee billed through Paynow. There is no stored-card auto-renewal in the current Paynow integration: each period is paid as it comes due.

Software subscription fees are separate from money a shopper pays a merchant.

If a payment fails we may notify you and allow an update. After notice and any grace period we may restrict paid features. We will not use that to unlawfully withhold data or override mandatory rights.

You may cancel through account billing controls or by contacting support. Unless the plan or the law says otherwise, cancellation stops future paid periods. A partial-period refund is not automatic, but statutory refunds, billing errors and duplicate charges remain.

We may change prices for future periods with reasonable notice where required. You may cancel before a notified change takes effect.

15. Acceptable use

You must not use BusinessOS to commit fraud, sell unlawful products, publish deceptive listings or fake reviews, misrepresent identity or verification, infringe rights, access another tenant's data, bypass access or billing controls, introduce malware, abuse the service, send unlawful spam, manipulate rankings, harvest personal information without authorisation, or create fraudulent transactions.

We may investigate and take proportionate action, including restricting content, suspending access or reporting conduct.

16. Data protection and privacy

The Privacy Policy explains how we process personal information and forms part of this framework. If it conflicts with these Terms on a privacy-processing point, the Privacy Policy governs that point to the extent lawful.

You must comply with applicable data protection law. Merchants must have a lawful basis for customer and staff data.

17. Third-party services

Paynow, Supabase, hosting, Groq, Sentry, Upstash, Google Fonts and WhatsApp (when a merchant publishes a chat link) have their own terms.

We are not responsible for independent providers' outages to the extent the law allows, but we remain responsible for our own duties.

We do not guarantee that an external service will support every country, payment method or account.

18. Intellectual property in BusinessOS

Except for user or third-party content, the Services are owned by or licensed to the operator. We grant a limited, non-exclusive, non-transferable right to use the Services for their intended purpose, subject to these Terms and your plan.

You keep ownership of your business data, brand and original content. Keep your own copies of important records.

19. Availability, backups and data exports

We aim for reliable operation. Uninterrupted availability is not guaranteed. Maintenance, outages, networks, security incidents and providers can interrupt service.

Export tools exist for some merchant data. Backup availability depends on operator configuration. Nothing here excludes liability that cannot legally be excluded.

20. Suspension and termination

You may stop using the Services and close an account through available controls or by contacting support.

We may suspend or terminate for material breach, fraud, serious security risk, unpaid fees after notice, legal requirements, or conduct that creates substantial risk.

Where reasonably practicable and lawful we will explain and allow a remedy or appeal. We may act immediately to prevent significant harm.

After closure, data is handled under the Privacy Policy, retention rules and any valid export or deletion rights. Amounts lawfully owed still remain.

21. Disclaimers

To the extent the law allows, BusinessOS is evolving software. We do not guarantee that every feature is always uninterrupted, error-free or suitable for every business.

We do not guarantee the quality, safety or legality of independent merchants' products, that a merchant will fulfil an order, that a customer will pay, or that a third-party service will remain available.

BusinessOS does not replace professional legal, tax, accounting or financial advice.

We will take reasonable care and remain subject to duties that cannot legally be excluded.

22. Limitation of liability

Nothing in these Terms excludes or limits liability where that is prohibited.

To the extent legally permitted, BusinessOS is not liable for indirect or consequential loss that was not reasonably foreseeable, and is not responsible for an independent merchant's products or fulfilment where those matters are outside our responsibility.

This section does not exclude fraud, wilful misconduct, gross negligence, breach of mandatory consumer rights, unlawful data processing, or any other liability that cannot legally be excluded.

Any future financial cap must be reasonable, clearly disclosed and consistent with law. No cap overrides a non-excludable statutory right. No numeric cap is set in this draft.

23. Indemnity

To the extent the law allows, a merchant may be responsible for reasonable losses arising directly from its unlawful listings, infringement, misuse of customer data or material breach of these Terms.

This does not make a merchant responsible for our own unlawful conduct, negligence or breach.

24. Complaints and dispute resolution

Contact [INSERT SUPPORT EMAIL] about BusinessOS itself.

For a product or fulfilment dispute, contact the merchant on the order first, and keep confirmations and payment evidence. You may also submit a complaint through the shop's complaint form where it is available.

Nothing here stops you using a statutory right, a competent authority or another lawful remedy.

25. Governing law

These Terms are intended to be governed by the laws of Zimbabwe, subject to mandatory protections that apply to a user or transaction.

Court proceedings will be brought before a court with competent jurisdiction, subject to applicable law.

26. Changes

We may update these Terms. The current version is at /terms and /legal/terms. Material changes to existing users will be notified, and consent obtained, where the law requires.

Continued use after a validly notified change is acceptance only to the extent the law allows.

27. General

If a provision is invalid, the rest still applies to the extent allowed. Failure to enforce a provision immediately is not an automatic waiver.

You may not transfer your account in a way these Terms or the law forbid. We may transfer operation of the Services as part of a lawful restructuring.

These Terms, plan terms, transaction terms and the Privacy Policy describe the agreement for the Services, subject to mandatory rights and any valid separate agreement.
